1. Agreement, acceptance, and scope
These Foundable Creator Rewards Program Terms (the "Program Terms") govern participation in Foundable Creator Rewards (the "Program"), operated by Autono Labs, Inc., doing business as Foundable ("Foundable," "we," "us," or "our"). "Creator" or "you" means the natural person applying to or participating in the Program.
These Program Terms take effect when you affirmatively check the Program Terms box and submit the associated application or versioned re-acceptance in the Creator portal. These Program Terms and the separately accepted Rights & Paid Advertising Consent form the complete Program Agreement. The Creator Privacy & Retention Notice describes how Program information is handled and is acknowledged with that action; it is not a third contractual acceptance. If you separately use the Foundable product, Foundable's general Terms of Service and Privacy Policy also apply. These Program Terms control only where they specifically address the Program.
Prospective version. This version governs only a Creator who is presented with and affirmatively accepts this exact version. It does not rewrite an earlier agreement, submission, referral, reward, challenge, leaderboard week, payment, or license.
Applying does not guarantee acceptance. You may not create a Program posting account, publish a Program submission, or start a Program challenge until Foundable has accepted you and the applicable intake is open.
2. Key definitions
- Acceptance Timestamp means the exact timestamp when Foundable records acceptance of your application under this version.
- Covered View Reward means a successfully completed payment from the view-reward ladder in Section 8. It excludes every bonus, prize, referral share, rights payment, reimbursement, goodwill credit, and unrelated adjustment.
- Qualified Post means an eligible creative or valid cross-post group that satisfies these Program Terms and the version-matched Program Requirements.
- Verified Views means qualified organic views finally verified under Section 7.
- View Rewards means completed payments from the view-reward ladder only.
- Program Time means America/Los_Angeles, including daylight-saving changes.
- Commission Earned Timestamp means the timestamp when the underlying Covered View Reward is successfully completed and all applicable referral conditions are satisfied.
- Referral Activation Timestamp means the exact UTC timestamp when Foundable first activates percentage-based referrals under this version. Foundable fixes it in the immutable activation record before the first referred application governed by this version.
- Initial Referral Launch Season means the 90 consecutive 24-hour periods beginning at the Referral Activation Timestamp.
- Program Requirements means the immutable, version-matched Creator posting instructions presented for acknowledgment before a submission and identified by version, URL, and SHA-256 hash in the Creator's Program record. They are incorporated into the Program Agreement, may explain but may not materially change these Program Terms, and these Program Terms control any conflict. A material change requires a new Program version and fresh acceptance.
3. Eligibility, application, and new posting accounts
To participate, you must:
- Be a natural person at least 18 years old.
- Legally reside in one of the 50 United States or the District of Columbia.
- Provide accurate, complete, and current application information.
- Accept both required components of the Program Agreement.
- Be accepted before creating a Program posting account or publishing a Program submission.
- Remain in good standing and comply with these Program Terms, the Rights Consent, and the version-matched Program Requirements.
You do not need a TikTok or Instagram account to apply. Only after the Acceptance Timestamp may you create and connect a new TikTok account, a new Instagram account, or both for the Program. One platform is sufficient, and cross-posting is optional.
You must personally operate and control each connected Program account. An existing, purchased, transferred, leased, shared, or third-party-controlled account is ineligible. Foundable may request reasonable evidence of control and creation timing. Provider ownership verification establishes control, not account age, unless the provider supplies reliable creation-time information.
TikTok videos and Instagram Reels are the only eligible baseline platforms. YouTube and other platforms are not eligible.
Foundable may accept, decline, pause, request information from, or terminate a Creator as permitted by law and these Program Terms. Foundable does not promise acceptance, continued participation, any minimum number of opportunities, views, referrals, bonuses, prizes, or payment.
4. Creator control and content eligibility
Foundable accepts the Creator, not individual concepts. Foundable does not preapprove hooks, concepts, scripts, drafts, edits, or finished videos. You decide whether, when, where, and how to create and publish content, subject to the version-matched Program Requirements.
An eligible submission must:
- Say "Foundable" and visibly show Foundable.
- Make Foundable the subject of the substantive portion of the video.
- Demonstrate or explain a Foundable feature, workflow, output, benefit, or clearly presented product-oriented concept.
- Give a reasonable viewer an identifiable reason to visit or try Foundable.
- Comply with applicable law, advertising standards, platform rules, required disclosures, and the version-matched Program Requirements.
An unrelated opening hook is permitted if the video then clearly transitions into substantive Foundable-focused content. Moderate criticism is permitted if the predominant message still gives viewers a reason to consider or try Foundable. Content whose predominant message discourages use of Foundable is ineligible.
You are responsible for your statements and for obtaining all copyrights, music rights, publicity rights, releases, permissions, and other clearances needed for the organic and paid uses authorized in the Rights Consent. Foundable may request reasonable evidence of those rights. Missing or inadequate clearance may make a submission ineligible or prevent its use.
5. Publishing, submission, and duplicate rules
You must publish only through an eligible post-acceptance Program account, after acceptance, and while new-video intake is open. Each public TikTok or Instagram Reel URL must be submitted through the portal within 24 hours after that post's original native publication time.
The post must remain public, accessible, and materially unedited throughout its entire 336-hour measurement window and routine verification. Creator-caused deletion, privacy restriction, or material alteration makes the submission ineligible. A platform-initiated removal outside your control receives manual review.
Repeated submission of the same underlying file by the same Creator on the same platform is ineligible. A materially new edit may be treated as a separate creative. A changed hook, opening, narration, structure, demonstration, or conclusion may qualify; a filename change, trivial crop, or imperceptible change does not.
Creators may use similar concepts or templates. Similar work by different Creators is not automatically disqualified.
6. Cross-posts
The same creative may be posted once on TikTok and once on Instagram as one cross-post group only when:
- The second platform version is published within 24 hours after the first.
- Each URL is submitted within 24 hours after its own publication.
- Each version otherwise qualifies.
Each platform version has its own 336-hour window. Verification and payment timing run from the later window's close. Only the higher verified platform view count is used. Views are never added. The pair creates one payment unit, one referral-commission event, one challenge creative and posting day when applicable, one leaderboard creative, and, if paid, one paid-media license record.
A second version published outside the 24-hour pairing window is excluded and does not become a separate paid submission. The timely first version may remain independently eligible.
7. Qualified views and measurement
A qualified view is an organic view that:
- Is reported in the platform's native analytics.
- Occurs during that post's exact 336-hour window.
- Relates to an otherwise eligible submission.
- Is verified by Foundable.
The window begins at the post's original native publication time and ends exactly 336 hours later. It does not begin at application, acceptance, portal submission, analytics upload, challenge enrollment, leaderboard assignment, or campaign launch. Views after the cutoff do not affect payment or a finalized score.
Paid promotion, boosting, purchased traffic, bots, automated traffic, view exchanges, engagement groups, incentivized traffic, and other artificial or manipulated distribution do not qualify.
Before final verification, all displayed counts, scores, ranks, milestones, and amounts are provisional and create no payment entitlement.
8. View-based compensation
Only the single highest verified tier reached by an eligible creative is paid. Tiers do not stack.

Compensation is per eligible creative, subject to duplicate and cross-post rules. There is no follower minimum, ordinary required posting frequency, minimum number of ordinary submissions, or maximum number of materially different submissions while intake remains open. Optional Perfect Run participation does not change that rule. Acceptance does not guarantee that a submission will qualify, receive views, or earn money.
Each eligible submission carries the separate non-exclusive 12-month organic-use license described in the Rights & Paid Advertising Consent. A separate 90-day paid-media license begins only after successful payment of a qualifying view-tier amount for that creative. No bonus, prize, referral share, or badge activates content rights.
9. Product Signup Bonus
Each accepted Creator receives one optional TikTok product-attribution link and one optional Instagram product-attribution link. Use of either link is optional and does not affect video eligibility or view-tier compensation.
A Creator earns one nonrepeatable $50 Product Signup Bonus when the two links produce ten qualified new Foundable signups in total under this Program version before new Product Signup Bonus attribution closes.
A signup qualifies only if:
- It belongs to a new, unique Foundable user.
- Account creation occurs within 30 calendar days after the last eligible Creator product-link click.
- The user completes account or email verification.
- The user starts a first Foundable build or creates a first project.
- The activity is authentic and not an existing account, duplicate, self-signup, bot, disposable account, purchased or incentivized signup, automated or fabricated account, signup ring, manipulated attribution, or other artificial activity.
The last eligible Creator product-link click before signup controls, and one signup may credit only one Creator. Verification or product activation may occur after Day 30 if account creation occurred within the window.
Browser privacy signals, blocked storage, or other technical limitations may prevent attribution. A signup counts only when Foundable's records verify eligible attribution under this Section.
The Creator must remain accepted and in good standing and have at least one eligible Program submission before approval. There is no 2,000-view minimum. The bonus is separate from view compensation, referral percentages, Perfect Run, and the leaderboard. It does not affect leaderboard cash ranking or activate content rights.
Counts remain provisional until verification. Foundable may reasonably exclude, hold, withhold, deny, reverse, or recover bonus credit or payment based on evidence of ineligible or inauthentic activity. Foundable will preserve the decision basis and provide the appeal route.
Foundable may close new bonus attribution prospectively. An eligible click recorded before closure keeps its full 30-day click-to-signup window.
10. Direct Referral Share
Each accepted Creator may receive one Creator-referral link. Exactly one direct referrer is locked when a genuinely new applicant submits an application through an eligible referral link. To earn under this Section, the direct referrer must have accepted this version before that referred application is submitted. There is no retroactive attribution, reassignment, split attribution, or stacking with an earlier flat referral program.
The referred Creator keeps 100% of every amount they earn. Foundable pays any referral share separately and does not deduct it from the referred Creator.
For each Covered View Reward, the Direct Referral Share is the smallest of:
- 20% of the Covered View Reward;
- $250 for that Covered View Reward;
- the unused portion of the $500 cap for that direct-referral relationship;
- the unused portion of the referrer's $1,000 combined referral cap for the calendar month containing the Commission Earned Timestamp; and
- the unused portion of the referrer's $3,000 combined cap for the Initial Referral Launch Season.
The share is calculated to the nearest cent. A partial share may be paid up to a remaining cap. An amount excluded by a cap does not roll forward.
Coverage is limited to the referred Creator's first ten completed paid videos whose first native publication occurred within 90 days after that Creator's Acceptance Timestamp. Videos are ordered by first native publication time. A valid cross-post group is one video. A zero-dollar, denied, or unpaid video does not consume one of the ten covered-video positions.
A Direct Referral Share becomes earned only after the underlying Covered View Reward is successfully completed and the referrer is accepted and in good standing. If the underlying reward is validly held, denied, voided, reversed, or recovered, the dependent share may be held, denied, voided, reversed, offset, or recovered as applicable and permitted by law.
11. Conditional Level-2 Referral Share
Feature gate. Level-2 Referral Shares apply only to eligible downstream posts first published at or after the prospective, program-wide Level-2 activation timestamp that Foundable fixes in the immutable activation record and displays in the portal. The eligible ancestor must accept this version before that activation timestamp or, if later, before the downstream post is first published. Direct referral availability does not itself activate Level-2 rewards, and activation is never retroactive.
There is exactly one eligible downstream level. If A directly refers B and B directly refers C, B may receive the Direct Referral Share from C and A may receive the Level-2 Referral Share from C. If C refers D, A receives nothing from D. There is no third level and no commission on another commission.
For each Covered View Reward, the Level-2 Referral Share is the smallest of:
- 5% of the downstream Creator's Covered View Reward;
- $50 for that Covered View Reward;
- the unused portion of the $100 cap for that Level-2 relationship;
- the unused portion of the ancestor's $1,000 combined referral cap for the calendar month containing the Commission Earned Timestamp; and
- the unused portion of the ancestor's $3,000 combined cap for the Initial Referral Launch Season.
Coverage is limited to the downstream Creator's first five completed paid videos whose first native publication occurred within 60 days after that Creator's Acceptance Timestamp. The ancestor must have successfully completed at least one view-tier payment from their own Foundable content before the downstream Covered View Reward completes. If that condition is not met then, no Level-2 share accrues for that reward.
The same rounding, partial-cap, timing, cross-post, good-standing, dependency, reversal, and recovery rules that apply to Direct Referral Shares also apply to Level-2 Referral Shares.
12. Referral exclusions, caps, and integrity
The referral percentage base never includes a Product Signup Bonus, Perfect Run payment, Weekly Leaderboard prize, referral share, Level-2 share, rights or licensing payment, reimbursement, goodwill credit, or unrelated adjustment.
Participation is free. No purchase, subscription, referral, or recruiting activity is required to earn from your own eligible content. Referring more people does not improve your own view-tier rate, acceptance, rank, posting eligibility, or access to more lucrative personal-content rewards. Foundable makes no referral or earnings guarantee.
Self-referrals, duplicate or recycled identities, purchased or generated applicants, controlled duplicate accounts, false accounts, circular chains, referral rings, manipulated attribution, reassignment, hidden beneficial control, and coordinated activity intended to evade a cap or create an artificial relationship are prohibited. Foundable may combine related evidence and treat substantially controlled accounts or relationships as one for integrity review.
Foundable may close new referral attribution or Level-2 activation prospectively. An existing valid relationship may continue through its applicable 90-day or 60-day publication window while video intake remains open, subject to all caps and verification. Earlier flat referral relationships remain governed by their accepted earlier version; the new percentage system neither replaces nor stacks with them retroactively.
13. Optional 7-Day Perfect Run Challenge
The Perfect Run Challenge is optional. Not entering, not completing, or failing a challenge does not affect Creator acceptance, good standing, ordinary submission eligibility, view-tier rewards, or referral eligibility unless the conduct separately violates another Program rule.
To begin, an accepted Creator must explicitly enroll and receive portal confirmation of a funded challenge slot. The initial launch offers up to 50 funded slots and initially permits one paid Perfect Run Challenge per Creator. A failed attempt does not restart automatically.
Before the first credited post, the Creator confirms Day 1 and an IANA timezone in the portal. That timezone and the seven consecutive local calendar dates then lock. To complete the challenge, the Creator must publish one eligible, materially distinct Foundable creative on each of those seven dates.
- Only one creative earns challenge credit per local calendar date.
- Additional eligible posts remain eligible for ordinary view rewards.
- A valid TikTok/Instagram cross-post group counts as one creative and one challenge day.
- An identical file repost or trivially changed file does not create another challenge day.
- Every challenge URL and post remains subject to the ordinary 24-hour submission deadline, 336-hour window, eligibility, public-availability, and verification rules.

The $50 result is the total challenge payment, not $25 plus an additional $50. Views cannot be pooled across posts. Challenge cash finalizes only after all seven posts' applicable measurement windows and reviews are complete.
Perfect Run cash and the badge are not part of a referral percentage base, do not determine the Weekly Leaderboard's official cash ranking, and do not activate or expand content rights. If new challenge enrollment closes, a previously confirmed funded slot keeps the rules accepted at enrollment.
14. Weekly Creator Leaderboard
Each Weekly Period begins Monday at 12:00:00 a.m. Program Time and ends Sunday at 11:59:59 p.m. Program Time. An eligible creative belongs to the Weekly Period containing its first native publication timestamp. A valid cross-post group belongs to the week containing its first platform publication and contributes only its higher finalized platform count.
The official cash ranking is Verified Views: the sum of finalized qualified views from all of a Creator's eligible creatives assigned to that Weekly Period. A post below 2,000 views may contribute Verified Views even though it earns $0. Disqualified posts contribute zero.
The portal may also show View Rewards, the sum of completed view-tier rewards from the same weekly cohort. View Rewards is informational only and creates no second set of winners. Product Signup Bonuses, referral shares, Perfect Run payments, Weekly Leaderboard prizes, rights payments, reimbursements, goodwill credits, and unrelated adjustments are excluded.
The leaderboard opens a new weekly cohort on the schedule above and refreshes at least weekly. Any standings shown before finalization must be labeled provisional. Final winners are determined only after every included post completes its 336-hour window and applicable review.

One Creator may receive only one Weekly Leaderboard prize per Weekly Period. If fewer than three eligible Creators have a finalized score, Foundable awards only the occupied places and does not roll an unawarded prize forward. Ranking is based on performance; there is no random drawing.
Ties are resolved in this order: higher Verified Views; higher View Rewards; more distinct creatives receiving a view-tier payment; a finalized Perfect Run badge as of the time standings are finalized; then the earlier timestamp at which the Creator's complete Weekly Period score became final.
All otherwise eligible Creators are scored for prizes. Weekly prize eligibility requires acceptance of this version before the Creator's first post assigned to that Weekly Period and remaining accepted and in good standing through finalization. Public identity is optional. A Creator may separately opt in to public display using a selected alias or public handle. Opting out does not affect score or prize eligibility. The public board shows no more than ten Creators and remains hidden until at least five genuine opted-in Creators have finalized results. Foundable will not seed the board with fabricated identities, scores, views, or payouts. A private winner may be shown without identifying information.
The Weekly Creator Leaderboard does not rank recruiting, referrals, referral revenue, or network size.
A Weekly Leaderboard prize is separate from the view ladder, carries no referral percentage, and does not activate or expand content rights. TikTok, Instagram, Meta, and their affiliates do not sponsor, endorse, or administer the leaderboard.
15. Verification, holds, corrections, and appeals
Foundable may request native analytics and the minimum additional evidence reasonably needed to verify application or account eligibility, account control and creation timing, content eligibility, organic traffic, timestamps, rights, referrals, challenge credits, leaderboard scores, or payment eligibility. Evidence requirements may reasonably increase with the provisional amount.
Automated systems may calculate provisional views, tiers, referral shares, challenge progress, cap applications, weekly scores, and ranks, and may flag possible duplicates, inconsistencies, or artificial activity. An authorized human reviews the relevant information and may change the result before a materially adverse eligibility, score, prize, commission, payment, or appeal decision becomes final.
No single anomaly automatically proves manipulation. Foundable reviews the available evidence as a whole. When a specific amount is disputed, Foundable will ordinarily freeze only that amount and pay undisputed approved amounts on schedule.
Foundable may correct a provisional score or amount, exclude ineligible activity, remove an ineligible leaderboard result through an auditable adjustment, revoke a badge or challenge result supported by a later disqualification, and propagate a valid hold, denial, reversal, offset, or recovery from an underlying reward to dependent referral shares, Perfect Run cash, or a Weekly Leaderboard prize when the dependent result relied on the invalidated post, subject to notice, appeal rights, applicable law, and the evidence as a whole.
You may appeal an application, account, content, view, Product Signup Bonus, referral, Perfect Run, leaderboard, prize, or payment-eligibility decision by emailing support@foundable.com within seven calendar days after notice. Include the relevant URL or record and supporting evidence. A reviewer other than the initial decision-maker will handle the appeal. Foundable targets a response within seven business days after receiving a complete appeal.
16. Payment, tax, and expenses
Routine post verification is targeted within seven calendar days after the applicable 336-hour window closes. Approved view-tier amounts enter the next weekly payment batch and ordinarily complete no later than 14 calendar days after the applicable measurement window closes.
A referral share becomes earned only at its Commission Earned Timestamp and enters the next eligible batch. Perfect Run cash enters the next eligible batch after challenge finalization. A Weekly Leaderboard prize enters the next eligible batch after standings finalize and any open hold or appeal affecting the result is resolved.
Documented delays may result from an open eligibility or fraud review, missing analytics or identity information, missing residency, tax, or payment information, platform data or access problems, an appeal, or payment-provider events outside Foundable's reasonable control.
Payment is made in U.S. dollars through a Foundable-supported electronic method. You must provide accurate identity, residency, tax, and payment information when requested. Foundable may collect Form W-9 information, apply backup withholding, and issue information returns as required by law.
You are responsible for your own equipment, production costs, operating expenses, insurance, licenses, fees, and taxes, except amounts Foundable is legally required to withhold or pay. Program rewards, bonuses, commissions, and prizes may be taxable. Foundable may correct duplicate payments, clear clerical errors, and recover amounts obtained through material misrepresentation, fraud, artificial activity, or breach, subject to applicable law and the appeal process.
17. Required advertising disclosures and truthful claims
Creators must comply with all required disclosures, applicable laws and advertising standards, applicable platform policies, and the version-matched Program Requirements.
Every Program endorsement must clearly and conspicuously disclose your financial relationship with Foundable whenever that relationship would not already be obvious to an ordinary viewer. This includes the possibility of view-based compensation, a Product Signup Bonus, a referral payment, a Perfect Run payment, a Weekly Leaderboard prize, free access, or another material benefit.
The disclosure must:
- Be understandable to an ordinary viewer.
- Identify the relationship to Foundable.
- Appear with the endorsement where viewers are likely to notice it.
- Use the language of the endorsement.
- Be presented for long enough to be understood - visually when the representation requiring disclosure is visual, audibly when it is audible, and both visually and audibly when it uses both.
- Not be buried after a "more" cut, only in a profile, or among unrelated tags.
- Use any platform disclosure tool required by the platform, without assuming that the tool alone is sufficient.
No specific script, hashtag, or sentence is mandatory, but the disclosure actually used must be effective.
Your statements must be truthful, not misleading, and reflect your honest opinion and actual experience. You may not make an objective claim that lacks a reasonable basis, imply results or earnings without support, or imply capabilities or experiences you did not have. Recruiting or earnings statements must be accurate, supportable, and not imply that earnings are typical or guaranteed. You must promptly cooperate with a reasonable correction, disclosure, or removal request concerning unlawful, deceptive, infringing, or noncompliant content.
Foundable may monitor public Program posts, request supporting information, and take reasonable remedial action. No draft preapproval is required.
18. Independent relationship
The parties intend an independent contractor relationship to the extent permitted by applicable law. You decide whether to participate and control the time, place, manner, equipment, and creative execution of your work. There is no exclusivity, ordinary required schedule, minimum output, continuing assignment, employment benefit, authority to bind Foundable, partnership, joint venture, franchise, or agency relationship.
A Creator who voluntarily enrolls in a Perfect Run Challenge chooses to attempt its seven-day eligibility condition. Failure merely makes the optional challenge reward unavailable; it creates no discipline, damages, or obligation to continue posting.
You may provide services to others, including competitors, provided you do not misuse Foundable's confidential information, credentials, or intellectual property. The parties' label does not override applicable worker-classification law; actual facts and governing law control.
19. Foundable materials and marks
During active participation, Foundable grants you a limited, non-exclusive, non-transferable, revocable permission to use approved Foundable names, logos, product captures, and creator assets solely to produce eligible Program content.
You receive no ownership in Foundable intellectual property. You may not register confusingly similar marks, imply authority to speak for Foundable, alter a mark in a misleading way, or use unreleased or restricted material outside the Program. You must stop new use when participation or the relevant permission ends.
20. Confidentiality and protected communications
Nonpublic product information, unreleased assets, access credentials, security details, private Creator information, and information clearly identified or reasonably understood as confidential must be protected and used only for the Program.
This clause does not cover information that is public through no breach, independently developed, rightfully received from another source, or required to be disclosed by law. It does not prohibit honest reviews, lawful reporting to a regulator, protected whistleblowing, discussion of working conditions where protected, or other non-waivable speech.
21. Creator representations
You represent and warrant that:
- You have authority to accept the Program Agreement.
- Your application, account, analytics, timestamps, referrals, and payment information are accurate.
- You personally operate and control each eligible post-acceptance posting account.
- You created or validly control the submitted content.
- The authorized uses will not infringe copyright, trademark, privacy, publicity, contract, music, union, guild, or other third-party rights.
- No conflicting agreement prevents the rights granted to Foundable.
- Your content and conduct comply with law, platform rules, and required disclosures.
- You will not manipulate views, signups, referrals, attribution, challenge credits, leaderboard scores, or evidence.
22. Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Autono Labs, Inc., its affiliates, successors, and their officers, employees, and agents from third-party claims, damages, liabilities, judgments, and reasonable legal expenses arising from your breach of Sections 4, 17, 20, or 21; your content; your unlawful conduct; or Foundable's authorized use of material you lacked the right to license.
Foundable will promptly notify you and allow you reasonable control of the defense, subject to Foundable's approval of counsel and any settlement imposing an admission, payment, restriction, or obligation on Foundable. This clause does not require indemnification for Foundable's unauthorized use or its own willful misconduct.
23. Disclaimers and limitation of liability
THE PROGRAM, PORTAL, ASSETS, ATTRIBUTION, ANALYTICS, CHALLENGE, LEADERBOARD, AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDABLE DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY OF AVAILABILITY, VIEWS, REACH, ACCEPTANCE, EARNINGS, ATTRIBUTION, RANK, REFERRALS, OR PLATFORM PERFORMANCE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDABLE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OPPORTUNITY, OR GOODWILL.
FOUNDABLE'S AGGREGATE LIABILITY ARISING FROM THE PROGRAM WILL NOT EXCEED THE GREATER OF THE AMOUNTS FOUNDABLE PAID YOU UNDER THE PROGRAM DURING THE 12 MONTHS BEFORE THE CLAIM OR US$100. THIS LIMIT DOES NOT REDUCE AN APPROVED PAYMENT FOUNDABLE EXPRESSLY OWES UNDER THESE PROGRAM TERMS OR ANY LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
24. Suspension, termination, and closure
Foundable may pause or terminate participation for material breach, fraud, legal or security risk, repeated noncompliance, platform restrictions, or when continuing is no longer commercially reasonable. Immediate action is permitted where reasonably necessary to prevent harm.
Foundable may independently and prospectively close new applications, new-video intake, new-referral attribution, Level-2 activation, Product Signup Bonus attribution, Perfect Run enrollment, or new Weekly Periods.
Closure does not retroactively reduce an already fixed interest: an eligible published submission keeps its full 336-hour window and reward ladder; an eligible product-link click recorded before closure keeps its 30-day window; a confirmed funded challenge keeps its challenge rules; an opened Weekly Period keeps its advertised prize amounts; and an existing valid referral relationship may complete its applicable coverage window while video intake remains open.
25. Changes, event-level versioning, and grandfathering
Foundable may change the Program prospectively. A material change to economics, measurement, eligibility, referrals, challenges, leaderboard prizes, rights, or retention requires a new version and fresh affirmative acceptance before it governs a new submission.
- The referred applicant's application-submission version governs the referral relationship.
- The version confirmed when a challenge begins governs that challenge.
- The version fixed before a Weekly Period opens governs that Weekly Period.
- The Creator's accepted version at first native publication governs a post.
No prior Creator silently migrates to this version. Earlier accounts, submissions, payments, referrals, and licenses remain governed by the version under which they arose. Foundable will not retroactively reduce a payout, commission, confirmed challenge, opened weekly prize, or activated license.
26. Electronic records
You consent to receive the Program Agreement, application receipt, decisions, payment notices, challenge and leaderboard records, and other Program records electronically at the email address you provide. The documents will be available in a retainable format using an ordinary current web browser. You may request a paper copy at no charge or update your email by contacting support@foundable.com.
Withdrawing electronic-delivery consent may prevent continued participation where electronic records are reasonably required, but does not affect records already delivered or accepted.
27. Governing law and miscellaneous
These Program Terms are governed by Delaware law without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in New Castle County, Delaware. Each party consents to jurisdiction and venue there.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES A JURY TRIAL FOR A DISPUTE ARISING FROM THE PROGRAM AGREEMENT.
Nothing deprives a person of non-waivable rights. Either party may seek injunctive relief for actual or threatened infringement, misappropriation, or violation of intellectual-property or confidentiality rights.
The Program Agreement is the entire agreement about the Program. If a provision is unenforceable, the remainder continues. Failure to enforce is not a waiver. You may not assign the Program Agreement without Foundable's written consent. Foundable may assign it with a merger, acquisition, reorganization, or sale of relevant assets. Sections intended by their nature to survive do so.
